Section 1 — Acceptance of Terms

These Terms of Service (the "Terms") govern your access to and use of the website operated by Healthy Aminos LLC ("Healthy Aminos," "Company," "we," "us," or "our") at healthyaminolabs.com and any associated subdomains, services, and products (collectively, the "Site").

By accessing the Site, creating an account, placing an order, or otherwise interacting with our products and services, you ("Customer," "you," or "your") agree to be bound by these Terms, our Privacy Policy, and our Research Use Only Purchaser Agreement. If you do not agree to any part of these Terms, you must not use the Site.

These Terms form a binding contract between you and Healthy Aminos LLC. We may update or modify these Terms at any time. Continued use of the Site after changes constitutes acceptance of the revised Terms.

Section 2 — Eligibility

To use the Site or place an order, you represent and warrant that you:

(a) Are at least twenty-one (21) years of age;

(b) Are a resident of the United States;

(c) Are a qualified researcher, research entity, or laboratory professional, or are acting on behalf of one in an official capacity;

(d) Are placing orders solely for in-vitro research purposes in a licensed or otherwise legally compliant facility;

(e) Have the legal capacity to enter into a binding contract under the laws of your jurisdiction;

(f) Are not located in any jurisdiction where the purchase, possession, or use of the products would violate applicable law.

We reserve the right to refuse service, terminate accounts, or cancel orders for any reason, including any indication that the eligibility requirements above are not met.

Section 3 — Research Use Only (RUO) Statement

Products sold by Healthy Aminos LLC are intended SOLELY for in-vitro research use by qualified research professionals. They are NOT for human consumption, NOT for animal consumption, NOT for diagnostic use, NOT for therapeutic use, NOT for clinical trials, and NOT for any in-vivo application.

These products have not been evaluated, reviewed, or approved by the United States Food and Drug Administration (FDA), the European Medicines Agency (EMA), or any other regulatory body for use in humans or animals. They are intended only for laboratory studies conducted by qualified researchers in licensed research facilities.

By placing an order, the customer represents and warrants that (a) they are a qualified researcher or research entity, (b) the products will be used only for laboratory research purposes, (c) they will comply with all applicable laws and regulations, and (d) they will not resell, transfer, or distribute the products to any party for human or animal consumption.

Healthy Aminos LLC makes no representations or warranties regarding the safety, efficacy, or suitability of these products for any purpose other than research.

Customer assumes all risk and liability arising from the use, misuse, or handling of the products.

Section 4 — No Medical Claims

No statement made on the Site, in product descriptions, in marketing materials, in blog content, in research summaries, or in any other communication from Healthy Aminos has been evaluated by the FDA. Our products are not intended to diagnose, treat, cure, prevent, or mitigate any disease, condition, illness, or injury in humans or animals.

Any references to peer-reviewed research, scientific literature, or third-party studies are provided for educational and reference purposes only. Such references do not constitute medical advice, treatment recommendations, or claims about the efficacy of our products in any application other than laboratory research.

If you are seeking medical advice, treatment, or care, consult a qualified licensed healthcare provider. Healthy Aminos does not provide medical advice and disclaims any role as a healthcare provider.

Section 5 — Account Registration and Security

Some features of the Site, including order placement and order tracking, may require you to create an account. When you register, you agree to provide accurate, current, and complete information and to keep that information up to date.

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately at support@healthyaminolabs.com of any unauthorized use of your account or any other breach of security.

We reserve the right to suspend or terminate your account at our sole discretion, without notice, for any conduct that we, in our sole judgment, believe violates these Terms, applicable law, or the rights of any third party.

Section 6 — Order Acceptance and Refusal

Submission of an order through the Site constitutes an offer to purchase, not a binding contract. We reserve the right to accept, reject, or cancel any order at our sole discretion, in whole or in part, for any reason or no reason. Reasons may include, without limitation, suspected misrepresentation, suspected diversion to non-research uses, regulatory or shipping restrictions in your location, payment authorization failures, pricing or availability errors on the Site, or our inability to verify your eligibility under Section 2.

If we cancel or reject an order after payment has been received, we will refund the affected amount through the original payment method. We are not liable for any loss or damage arising from rejected or cancelled orders beyond the refund of amounts paid.

Quantities sold are limited per order at our discretion. We may impose order-frequency or quantity limits to deter resale, diversion, or other prohibited uses.

Section 7 — Payment, Shipping, and Returns

All prices on the Site are in U.S. dollars unless otherwise noted. Prices and product availability are subject to change without notice. Applicable taxes will be calculated and added at checkout based on your shipping address.

Payment must be authorized at the time the order is placed via the payment methods we make available. By submitting payment information, you represent that you are authorized to use the payment method and that all information provided is true and accurate.

Shipping is performed by third-party carriers. Estimated delivery times are estimates only and do not constitute guarantees. Risk of loss and title for products pass to you upon our delivery to the carrier. Refer to our Shipping Policy at /shipping-policy for additional terms.

Because the products are research materials and may be temperature-sensitive or may have been opened or handled in a research environment, we generally do not accept returns. Defective or damaged products must be reported to support@healthyaminolabs.com within seven (7) days of delivery, with photographic evidence. We will, at our discretion, replace or refund products determined to have been damaged in transit or shipped in error.

Section 8 — Intellectual Property

All content on the Site — including text, graphics, logos, photographs, product descriptions, scientific summaries, blog articles, certificates of analysis, and software — is the property of Healthy Aminos LLC or its licensors and is protected by copyright, trademark, and other intellectual property laws.

We grant you a limited, non-exclusive, non-transferable, revocable license to access and view the Site for your own personal, non-commercial use in connection with evaluating and ordering products. This license does not include any right to copy, modify, redistribute, scrape, mirror, frame, embed, republish, sell, sublicense, or create derivative works of any portion of the Site without our prior written consent.

Automated access (including scraping, crawling, and indexing other than by major search engines for the purpose of search indexing) is prohibited unless expressly authorized in writing.

All trademarks, service marks, trade names, and logos displayed on the Site are the property of their respective owners. Use of these marks without our prior written consent is prohibited.

Section 9 — Prohibited Uses

You agree not to use the Site or any product for any unlawful purpose or in any way that could harm Healthy Aminos, our customers, or any third party. Without limiting the foregoing, you specifically agree NOT to:

(a) Consume, ingest, inject, inhale, or otherwise administer the products to any human or animal;

(b) Use the products in any clinical trial, diagnostic procedure, therapeutic intervention, or in-vivo study;

(c) Resell, transfer, distribute, or supply the products to any party who you know or have reason to believe will use them for human or animal consumption;

(d) Misrepresent yourself, your affiliation, your eligibility, or your intended use of the products;

(e) Use the Site or products in any manner that violates federal, state, local, or international law or regulation, including but not limited to laws governing controlled substances, drug compounding, food and drug safety, and import/export controls;

(f) Attempt to gain unauthorized access to any portion of the Site, our systems, customer accounts, or our internal data;

(g) Interfere with, disrupt, or impose an unreasonable load on the Site or our infrastructure;

(h) Use the Site to transmit malware, viruses, or harmful code, or to engage in fraud, phishing, or social engineering.

Violation of any prohibited use may result in immediate termination of your account, cancellation of pending orders, refusal of future orders, and/or referral to law enforcement.

Section 10 — Disclaimer of Warranties

THE SITE AND PRODUCTS ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, HEALTHY AMINOS DISCLAIMS ALL WARRANTIES, INCLUDING WITHOUT LIMITATION IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM A COURSE OF DEALING OR USAGE OF TRADE.

WE MAKE NO WARRANTY THAT THE SITE OR PRODUCTS WILL MEET YOUR REQUIREMENTS, BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. WE MAKE NO WARRANTY ABOUT THE ACCURACY, RELIABILITY, OR COMPLETENESS OF ANY INFORMATION ON THE SITE.

Some jurisdictions do not allow the exclusion of certain implied warranties; in those jurisdictions, the disclaimers above apply to the maximum extent permitted by law.

Section 11 — Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, HEALTHY AMINOS LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOST PROFITS, LOST DATA, BUSINESS INTERRUPTION, PERSONAL INJURY, OR LOSS OF GOODWILL, WHETHER ARISING IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE, ARISING FROM OR RELATING TO THE SITE OR PRODUCTS, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL CUMULATIVE LIABILITY ARISING FROM OR RELATING TO ANY ORDER OR USE OF THE SITE OR PRODUCTS, WHETHER IN CONTRACT, TORT, OR OTHERWISE, SHALL NOT EXCEED THE AMOUNT YOU PAID TO HEALTHY AMINOS FOR THE SPECIFIC ORDER GIVING RISE TO THE CLAIM.

Some jurisdictions do not allow the limitation or exclusion of liability for incidental or consequential damages; in those jurisdictions, our liability is limited to the maximum extent permitted by law.

Section 12 — Indemnification

You agree to indemnify, defend, and hold harmless Healthy Aminos LLC, its officers, directors, employees, agents, affiliates, suppliers, and licensors from and against any and all claims, demands, actions, suits, losses, liabilities, damages, judgments, settlements, costs, and expenses (including reasonable attorneys' fees) arising from or related to:

(a) Your use of the Site or products;

(b) Your breach of these Terms or any representation, warranty, or covenant made by you;

(c) Your violation of any applicable law or regulation, including without limitation any law concerning the handling, storage, distribution, consumption, or administration of the products;

(d) Any claim that the products were used for human or animal consumption, diagnostic use, therapeutic use, or any in-vivo application;

(e) Any claim by a third party (including any human or animal subject) arising from your use, misuse, or distribution of the products.

We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which case you agree to cooperate with our defense of such claim.

Section 13 — Governing Law and Dispute Resolution

These Terms and any dispute arising from or related to these Terms, the Site, or the products shall be governed by and construed in accordance with the laws of the State of Wyoming, without regard to its conflict-of-laws principles. Healthy Aminos LLC is organized under the laws of Wyoming.

Any legal action or proceeding arising from or related to these Terms shall be brought exclusively in the state or federal courts located in Wyoming, and you irrevocably consent to the personal jurisdiction and venue of such courts.

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect, and the unenforceable provision shall be modified or limited to the minimum extent necessary so that the remaining provisions remain enforceable.

Our failure to enforce any provision of these Terms is not a waiver of our right to enforce that provision in the future.

Section 14 — Changes to These Terms

We reserve the right, in our sole discretion, to modify or replace these Terms at any time. The most current version will always be posted on the Site, with the "Last Updated" date at the bottom of this page reflecting the date of the latest revision.

Material changes will be effective upon posting unless we provide a different effective date. Your continued use of the Site after the effective date of any change constitutes your acceptance of the revised Terms.

If you do not agree to the revised Terms, your sole remedy is to stop using the Site and close your account.
